Terms of Service

1. Acceptance of Terms

By accessing or using the KairosRoute platform, API, website, SDKs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

KairosRoute provides an AI API broker that routes requests to multiple AI model providers (including OpenAI, Anthropic, Google, Mistral, and others) through a single, OpenAI-compatible API endpoint. The Service includes intelligent routing, cost optimization, usage analytics, and related tools.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity under your account, including API key usage. You must notify us immediately of any unauthorized use of your account or API keys. We reserve the right to suspend or terminate accounts that violate these Terms.

4. API Keys and Access

Upon registration, you will receive API keys to access the Service. API keys are confidential and must not be shared, published, or embedded in client-side code. You are responsible for any usage incurred through your API keys, whether authorized or not. If you believe your API key has been compromised, you should immediately deactivate it through the dashboard and generate a new one.

5. Pricing and Payment

The Service offers Free, Pro ($49/month), and Enterprise ($499/month) tiers. All paid plans are billed monthly via Stripe. In addition to platform fees, you pay for actual API usage at provider cost plus your plan's markup percentage (25% for Free, 15% for Pro, 10% for Enterprise).

Free tier accounts have a $0.50/day spending cap. All prices are in US dollars. You are responsible for any applicable taxes. We may change pricing with 30 days' notice.

Failed payments may result in service suspension. We do not provide refunds for partial months of service or unused API usage, except as required by law.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations; generate, store, or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable; attempt to gain unauthorized access to the Service, other accounts, or related systems; interfere with or disrupt the Service or servers; circumvent rate limits, budget caps, or other usage restrictions; reverse engineer, decompile, or extract the source code of the Service; use the Service to build a competing product; resell access to the Service without our written consent; or send automated requests designed to overload the system.

7. Rate Limits and Quotas

Each plan tier has specific rate limits (requests per minute) and other usage quotas. Exceeding these limits will result in HTTP 429 responses. We reserve the right to throttle or suspend accounts that consistently abuse rate limits or use the Service in a manner that degrades performance for other users.

8. Third-Party AI Providers

The Service routes your requests to third-party AI model providers. Your use of these models is also subject to each provider's terms of service and acceptable use policies. We are not responsible for the content, accuracy, or availability of responses from third-party models. Provider outages or changes may affect the Service, and we will make reasonable efforts to maintain availability through our fallback routing system.

9. Intellectual Property

You retain all rights to the content you send through the Service (prompts, data, etc.) and the outputs you receive. We do not claim ownership of your content. The Service itself, including its software, design, documentation, and branding, is owned by KairosRoute and protected by intellectual property laws. Our SDKs are provided under the MIT License.

10. Service Level Agreement

Pro tier customers receive a 99.5% uptime SLA. Enterprise tier customers receive a 99.99% uptime SLA. Free tier accounts have no uptime guarantee. Uptime is measured monthly, excluding scheduled maintenance windows (announced at least 48 hours in advance). SLA credits are issued as account credits for future usage, not as refunds.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROSROUTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI MODEL OUTPUTS WILL BE ACCURATE OR RELIABLE.

13. Indemnification

You agree to indemnify and hold harmless KairosRoute, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may cancel your account through the dashboard or by contacting support. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the Service (with 30 days' notice for paid customers). Upon termination, your API keys will be deactivated immediately and your data will be handled according to our Privacy Policy.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you disagree with the changes, you may cancel your account before they take effect.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
